acceptance of terms

By accessing or using the Mise en Paws platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use the platform. You must be at least 13 years of age to create an account or use the platform. If you are using the platform on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms, and the terms "you" and "your" shall refer to that entity.

description of service

Mise en Paws is a subscription based recipe and meal planning platform operated by Botic Ventures LLC, a Florida limited liability company. The platform provides recipe browsing, AI recipe generation, meal planning tools, pantry and grocery list management, event and hosting planning tools, cooking timelines, budget tracking, dietary preference management, and community features. The specific features available to you may depend on your subscription tier.

accounts and registration

To access certain features of the platform, you must create an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at ajla@boticventures.com if you become aware of any unauthorized use of your account. Each person is permitted one account. Account sharing is not permitted. We reserve the right to suspend or terminate accounts that violate these terms.

subscription and payment terms

Mise en Paws offers a membership subscription at $6.99 per month. All payments are processed securely through Stripe. By subscribing, you authorize recurring monthly charges to the payment method on file until you cancel. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. No refunds will be issued for partial months of service, except where required by applicable law. If we change our subscription pricing, we will provide at least 30 days advance notice via email before any price increase takes effect. You may cancel your subscription at any time through your account settings page or by emailing ajla@boticventures.com. Upon cancellation, you will retain access to paid features through the end of your current billing period.

free trial terms

New users are eligible for a 7 day free trial of the full Mise en Paws membership. No charge will be applied during the trial period. You may cancel at any time before the trial ends to avoid being charged. If you do not cancel before the trial period expires, your account will automatically convert to a paid monthly subscription at $6.99 per month, and your payment method on file will be charged. Each person is eligible for one free trial per lifetime. Creating multiple accounts to obtain repeated free trials is prohibited and may result in termination of all associated accounts.

refund policy

All subscription fees are non-refundable except where required by applicable law. We do not provide refunds or credits for partial months of service or for periods where you did not use the platform. If you believe you were charged in error, contact us at ajla@boticventures.com within 7 days of the charge and we will review your case. Approved refunds will be processed within 10 business days to your original payment method.

acceptable use

You may use the platform for its intended purpose of meal planning, recipe management, and related personal and household use. You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law or regulation.
• Harass, threaten, or abuse other users or Botic Ventures LLC personnel.
• Scrape, crawl, or use automated tools to extract data from the platform without prior written permission.
• Attempt to access other users' accounts, data, or private information.
• Reverse engineer, decompile, or disassemble any part of the platform.
• Upload content that is malicious, harmful, defamatory, obscene, or infringes on the rights of others.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Circumvent, disable, or interfere with security features or access controls of the platform.
• Create multiple accounts for the purpose of abusing the free trial or any other promotional offer.

account suspension and termination

Botic Ventures LLC reserves the right to suspend or terminate your account for violation of these terms. For non-urgent violations we will provide 24 hours notice before suspension. For serious violations including fraud, abuse, harassment, or illegal activity, we may suspend your account immediately without prior notice. Upon termination your access to paid features will end at the conclusion of your current billing period. You may request deletion of your account data at any time per our privacy policy.

user generated content

You retain full ownership of all personal content you create on the platform, including your family recipes, personal notes, meal plans, event plans, and uploaded images. By submitting content to the platform, you grant Botic Ventures LLC a worldwide, non-exclusive, royalty-free license to store, display, reproduce, and process your content solely for the purpose of providing and operating the platform and its features. This license does not grant us the right to sell or sublicense your content to third parties. You represent and warrant that you have all necessary rights to the content you upload and that your content does not infringe on the intellectual property rights of any third party.

ai generated content

The platform includes features that generate recipes, cooking plans, and other content using artificial intelligence. AI generated content is provided for informational and personal use only and is not a substitute for professional nutritional, dietary, or medical advice. Botic Ventures LLC makes no warranties regarding the accuracy, completeness, nutritional values, allergen information, or safety of AI generated content. Users with food allergies, dietary restrictions, or medical conditions should independently verify all ingredients and nutritional information before preparing or consuming any recipe. AI generated content may not be republished, redistributed, or sold commercially without prior written permission from Botic Ventures LLC.

intellectual property

All platform content, including but not limited to the software, code, design, graphics, user interface, original recipes created by Botic Ventures LLC, text, and documentation, is the property of Botic Ventures LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any platform content without the prior written consent of Botic Ventures LLC. The Mise en Paws name, logo, and all related marks are trademarks of Botic Ventures LLC.

beta features and platform changes

Mise en Paws is a growing platform. Features may be added, modified, or discontinued at any time. We will make reasonable efforts to notify users of significant changes via email with at least 14 days notice before discontinuing a major feature. New features may be released in beta form and may not be fully stable. We appreciate your patience as we continue to build and improve the platform.

disclaimers and warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BOTIC VENTURES LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the platform will be uninterrupted, error-free, or free of harmful components. Nutritional information, cost estimates, serving calculations, and budget projections provided on the platform are approximations only and should not be relied upon as medical, nutritional, or financial advice.

limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE STATE OF FLORIDA, THE TOTAL AGGREGATE LIABILITY OF BOTIC VENTURES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO BOTIC VENTURES LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL BOTIC VENTURES LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY. Some jurisdictions do not allow the exclusion or limitation of consequential or incidental damages, so the above limitations may not apply to you to the extent prohibited by applicable law.

indemnification

You agree to indemnify, defend, and hold harmless Botic Ventures LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the platform, your violation of these Terms of Service, your violation of any applicable law or regulation, or your infringement of any third party rights.

termination

Botic Ventures LLC may suspend or terminate your account and access to the platform at any time for violation of these Terms of Service. In the case of material violations, termination may occur without prior notice. For non-material violations, we will make reasonable efforts to provide notice before taking action. You may cancel your account at any time through your account settings or by contacting us at ajla@boticventures.com. Upon cancellation of a paid subscription, you will retain access to paid features through the end of your current billing period. After account termination or cancellation, you may request deletion of your personal data in accordance with our Privacy Policy.

dispute resolution

Before initiating any formal dispute proceedings, you agree to contact us at ajla@boticventures.com and allow 30 calendar days to attempt to resolve the dispute informally.

If the dispute cannot be resolved informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms of Service or the platform shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall be conducted in Duval County, Florida, or by video conference at the election of either party.

Class action waiver: you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class wide arbitration against Botic Ventures LLC.

Small claims exception: notwithstanding the above, either party may bring an individual action in small claims court in Duval County, Florida, for claims that qualify under the applicable jurisdictional limits.

governing law

These Terms of Service and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. For any disputes not subject to arbitration, the exclusive venue shall be the state and federal courts located in Duval County, Florida, and you consent to the personal jurisdiction of such courts.

general provisions

• Severability: if any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
• Entire agreement: these Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and Botic Ventures LLC regarding your use of the platform and supersede all prior agreements and understandings.
• No waiver: the failure of Botic Ventures LLC to enforce any right or provision of these terms shall not constitute a waiver of that right or provision.
• Force majeure: Botic Ventures LLC shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, power failures, or third party service disruptions.
• Assignment: Botic Ventures LLC may assign or transfer these terms, or any rights or obligations under them, in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets. You may not assign or transfer your rights or obligations under these terms without our prior written consent.
• Headings: section headings in these terms are for convenience of reference only and shall not affect the interpretation of any provision.
